Terms of Use

This agreement, referred to as the "Terms of Use" or simply "Terms," creates a legally binding relationship between the user, either as an individual or on behalf of an entity (referred to as "you"), and GC Brokers Inc. and its affiliated companies (collectively referred to as "Company," "we," "us," or "our"). The agreement encompasses your access to and utilization of the Resume Builder platform, as well as any related websites, media channels, mobile sites, and mobile applications (collectively referred to as the "Platform").

The Company operates globally, and as a result, different laws may apply based on the user's place of residence. These Terms are intended to be applicable to all users, regardless of location, to the extent that they are legally enforceable. For users residing in the European Union, please refer to the "EU Residents - Supplemental Terms of Use" for additional or alternative terms specific to your region. For users residing in the United States, please refer to the "US Residents - Supplemental Terms of Use" for additional or alternative terms specific to your region.

By accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, including any supplemental terms that apply to you based on your place of residence. If you do not agree with these Terms, including any supplemental terms, you are prohibited from using the Platform, and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are incorporated into these Terms by reference. The Company reserves the right to modify these Terms at any time and for any reason, as determined by our sole discretion. Changes to these Terms will be communicated by updating the "Last Updated" date, and continued use of the Platform after changes have been posted constitutes acceptance of the updated terms. It is your responsibility to regularly review these Terms to stay informed of updates.

The Platform is intended for users who are at least 18 years of age.

NOTE: These Terms and Conditions include a dispute resolution and arbitration provision, including a class action waiver, that may affect your rights under these Terms and Conditions and with respect to any disputes you may have with the Company.

Intellectual Property

The proprietary rights to the Platform, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics and trademarks, service marks, and logos contained therein (collectively referred to as the "Content" and "Marks") are either owned by us or licensed to us. The protection of such property is guaranteed by copyright and trademark laws and various intellectual property rights and unfair competition laws, both domestically and internationally. The Content and Marks are provided "AS IS" for personal use only. Any unauthorized commercial use of the Platform or its Content and Marks is strictly prohibited without prior written permission from us.

Limited License for Use

Subject to the terms and conditions of these Terms, you may be granted a limited license to access and use the Platform and to download or print a portion of the Content for personal, non-commercial use. All rights not expressly granted are reserved by us.

User Representations

By using the Platform, you represent and warrant that: (1) all information submitted during registration is accurate and up to date; (2) you have the legal capacity to comply with these Terms; (3) you are over the age of 18 and not considered a minor in your jurisdiction; (4) you will not access the Platform through automated means; (5) your use of the Platform will not violate any laws or regulations; and (6) any information provided by you is true, accurate and complete.

If any of the information provided is found to be false, inaccurate, outdated, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Platform.

Disclaimers

The information provided on the Platform is not intended for distribution to or use by individuals in jurisdictions where such distribution or use would violate local laws. Any access to the Platform from locations outside of the United States is done at the user's own initiative and with the understanding that the user is solely responsible for compliance with any applicable local laws.

User Registration Agreement

Registration Requirement: You may be required to register with the Platform or any of its component sites.
Confidentiality of Password: You agree to keep your password confidential and will be solely responsible for all activities conducted through your account.
Usernames: The Platform reserves the right to remove, reclaim, or change a username you select if it is deemed inappropriate, obscene, or otherwise objectionable, at its sole discretion.

Fees and Payment Terms

The Platform accepts various payment methods including debit/credit cards and third-party providers like PayPal. Other payment options may be available in certain locations.
You may be required to pay a fee to access certain services.
You agree to provide accurate, complete, and current purchase and account information for all transactions made through the Platform.
You agree to promptly update your account information, including payment method and email address.
Taxes, if applicable, will be added to the purchase price and displayed at checkout. The Platform reserves the right to change prices at any time.
You authorize the Platform to charge your chosen payment provider for all charges or fees incurred. If a purchase is subject to recurring charges, you consent to the recurring charge without prior approval until cancellation.
For some products or services, a payment plan option may be available. If you fail to make future payments as agreed, it may result in reporting to credit bureaus and appearing on your credit report.
The Platform reserves the right to correct pricing errors and refuse any order.

Cancellation, Refunds, and Guarantees Policy

Subscriptions are non-refundable.

Prohibited Use of Platform

As a user of the Platform, you are only permitted to access and use the Platform for the intended purpose designated by the company. Any other commercial use of the Platform must be explicitly endorsed or approved by the company.

You agree to refrain from the following activities while using the Platform:

Sharing login credentials with multiple users.
Selling or transferring your profile.
Using a purchasing agent to make purchases on the Platform.
Advertising or offering to sell goods or services on the Platform.
Using the Platform for any revenue-generating or commercial enterprise that competes with the company.
Impersonating another user or person or using another user's username.
Engaging in fraudulent or misleading behavior to obtain sensitive account information such as passwords.
Unauthorized framing or linking to the Platform.
Misusing the company's support services or making false reports of abuse or misconduct.
Harassing, abusing, threatening, or harming another person using information obtained from the Platform.
Removing copyright or proprietary notices from Content on the Platform.
Interfering with security features of the Platform, including those that prevent or restrict the use or copying of Content, enforce limitations on the use of the Platform and its Content, or restrict access to any part of the Platform.
Decoding, reverse engineering, or disassembling any software composing or forming part of the Platform.
Automated use of the system, such as sending comments or messages using scripts, or using data mining tools.
Systematically retrieving data or Content from the Platform to create a collection, database, or directory without written permission from the company.
Unauthorized use of the Platform, including collecting usernames and email addresses for sending unsolicited emails or creating user accounts through automated means or false pretenses.
Interfering with, disrupting, or overburdening the Platform or the networks or services connected to it.
Uploading or transmitting viruses, excessive use of capital letters, spamming, or other material that interferes with the uninterrupted use and enjoyment of the Platform.
Uploading or transmitting passive or active information collection or transmission mechanisms, such as clear graphics interchange formats, web bugs, cookies, or similar devices.
Automated access to the Platform, including the use of spiders, robots, cheat utilities, scrapers, or offline readers.
Engaging in activities that harm the reputation of the company and/or the Platform.
Using the Platform in a manner inconsistent with applicable laws and regulations

Contribution License

By submitting or posting Contributions to the Platform, you grant us an unrestricted, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, display, host, and create derivative works of the Contributions for delivering services, refining the Platform and services, and developing new services. You also authorize sublicenses of these rights. You waive all moral rights in the Contributions and represent that they do not assert any moral rights. You retain full ownership of the Contributions and all associated intellectual property rights. We are not liable for any statements or representations in your Contributions, and you agree to exonerate us from any responsibility or legal action regarding them.

We have the right to edit, redact, or change the Contributions, re-categorize them, or pre-screen or delete them at any time, without notice and for any reason. We have no obligation to monitor Contributions.

Submissions

Any feedback, suggestions, or ideas provided to us (Submissions) are non-confidential and become our sole property. We own exclusive rights, including all intellectual property rights, and can use and disseminate them for any lawful purpose without compensation or acknowledgment to you. You waive all moral rights to the Submissions and represent that they are original or that you have the right to submit them. You agree not to take legal action against us for any alleged infringement or misappropriation of proprietary rights in the Submissions.

Social Media

By linking your account with a third-party account (Third-Party Account) through the Platform, you grant us access to the Social Network Content stored in your Third-Party Account and allow us to make it available on the Platform through your account. This access may include friend lists and any additional information you permit us to receive from the Third-Party Account. Personal information posted to your Third-Party Account may be available on the Platform depending on your privacy settings and the Third-Party Account. If access to the Third-Party Account is terminated, Social Network Content may no longer be available on the Platform. You have the ability to disable the connection between your Platform account and the Third-Party Account at any time. Your relationship with the third-party service providers is governed by your agreement with them and we are not responsible for any Social Network Content. We may access your email address book or contacts list to identify and inform you of contacts who have registered on the Platform. You can deactivate the connection between the Platform and your Third-Party Account through your account settings or by contacting us. We will attempt to delete information obtained from the Third-Party Account except the username and profile picture that become associated with your Platform account.

Third-Party Websites and Content

The platform may include links to other websites ("Third-Party Websites") and content (such as articles, photographs, text, graphics, music, etc.) belonging to third parties ("Third-Party Content"). The platform does not investigate or monitor the accuracy or completeness of this Third-Party Content and is not responsible for it. Using Third-Party Websites or Content is done at your own risk and is not endorsed by the platform. Purchases made through Third-Party Websites are between you and the third party, and the platform takes no responsibility for them. You agree to hold the platform harmless for any harm caused by using Third-Party Content or Websites.

Platform Management

The platform reserves the right to monitor for violations of these terms, take legal action against violators, and manage the platform in a way that protects its rights and property.

Privacy Policy

We take data privacy and security seriously. Our Privacy Policy outlines what information we collect, how it's used and protected. You are responsible for the data transmitted to the platform and any activities you undertake. We will back up the data but are not liable for any loss or corruption of the data.

Copyright Infringement

We respect others' intellectual property rights. If you believe that any material on the platform infringes on a copyright you own, please notify us.

Governing Law

Unless otherwise mandated by the laws of Ontario, Canada, these Terms and your use of the Platform are governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without giving effect to any principles of conflicts of laws.

Limitation of Liability

To the fullest extent permitted by law in Ontario, Canada, neither we nor our directors, officers, employees, or agents will be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform. Our liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the amount paid, if any, by you to us during the three (3) month period prior to the occurrence giving rise to any claim. Some laws in Ontario, Canada do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, employees, and agents from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party arising out of: (1) your Contributions or Submissions; (2) your use of the Platform; (3) your breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any harmful act by you toward any other user of the Platform with whom you connected via the Platform. Unless prohibited by applicable law in Ontario, Canada, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
